By accessing or using LearnOptima ("the Platform", "Service", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

• You are at least 13 years old (or the age of majority in your jurisdiction)
• You have the legal capacity to enter into binding contracts
• You will comply with all applicable laws and regulations
• You accept our Privacy Policy and Cookie Policy

Modifications: We reserve the right to modify these Terms at any time. Continued use after changes constitutes acceptance of the modified Terms.

Account Creation Requirements

To access certain features of LearnOptima, you must create an account by providing:

• A valid email address
• A secure password meeting our security standards
• A display name (optional but recommended)

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• Keep your password secure and confidential
• Never share your login credentials with third parties
• Notify us immediately of any unauthorized access
• Use strong, unique passwords and enable two-factor authentication if available

Account Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms of Service
• Engage in automated scraping or bot activity
• Attempt to reverse-engineer or exploit the Platform
• Engage in fraudulent payment activity

Platform Ownership

LearnOptima, including its source code, design, features, branding, and AI models, is the exclusive property of Valynx and protected by copyright, trademark, and other intellectual property laws.

AI-Generated Content

Content generated by our AI models (roadmaps, lessons, exercises, quizzes, feedback) is subject to the following terms:

• Personal Use License: You may use AI-generated content for personal learning purposes only
• Limited Sharing: You may share snippets or excerpts with proper attribution to LearnOptima
• Commercial Restrictions: You may not sell, license, or commercially exploit AI-generated content without written permission
• No Derivatives: Creating derivative courses or training materials based on our content is prohibited

User-Generated Content

Content you create on the Platform (notes, exercise submissions, profile information) remains your property. However, by using LearnOptima, you grant us:

• A non-exclusive license to store, process, and display your content
• Permission to use anonymized data for platform improvement and AI training
• The right to analyze usage patterns for personalization and analytics

Certificates and Credentials

Certificates are issued and downloadable only while you have an active Mastery Plan and have fully completed an eligible roadmap:

• Learner roadmaps: certificate becomes available when you upgrade to Mastery after 100% completion
• Mastery roadmaps: certificate at completion while subscribed; download via completion modal or Learning Vault
• Downloadable for personal use, LinkedIn, and portfolio purposes (requires active Mastery for Vault access)
• Publicly verifiable at learnoptima.online/verify/<Certificate ID> (QR code on PDF). Verification links remain public once issued, even after downgrade
• Issued by LearnOptima, a product of Valynx LLC
• Non-transferable and cannot be sold or reassigned

If you downgrade before downloading, Vault access locks but any certificate already saved locally remains valid and publicly verifiable. Re-upgrade restores Vault downloads and pending certificates.

These credentials document structured program completion with quiz-based assessment. They are not third-party accredited degrees, professional licenses, or government certifications.

Your privacy is critically important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data We Collect

• Account information (email, display name, preferences)
• Learning progress (lessons completed, quiz scores, exercise submissions)
• Roadmap data (skills selected, experience levels, learning goals)
• Usage metrics (time spent, session frequency, feature usage)

How We Use Data

• Generate personalized AI roadmaps and adapt content difficulty
• Provide analytics dashboards and progress tracking
• Deliver AI-powered feedback on exercises and quizzes
• Improve platform security and prevent abuse

LearnOptima uses advanced AI models to generate personalized learning content, including lessons, exercises, quizzes, and explanations. While we employ strict quality controls and validation processes, we must inform you of the following:

Your Responsibility as a Learner

To maximize the value of LearnOptima while protecting yourself from potential inaccuracies, we strongly recommend:

• Cross-Reference Information: Verify critical information using the references and sources provided by our AI
• Consult Multiple Sources: For important topics, supplement LearnOptima content with textbooks, academic resources, or expert guidance
• Report Errors: If you identify inaccurate content, please report it via our feedback system to help improve the platform
• Critical Thinking: Approach all content with critical thinking skills and question information that seems incorrect or contradictory
• Seek Expert Advice: For professional, medical, legal, or financial subjects, always consult qualified professionals

Limitation of Liability for AI Content

• We are not liable for any decisions made based on AI-generated content
• We are not responsible for academic, professional, or financial outcomes resulting from content inaccuracies
• You assume all risk associated with relying on AI-generated educational materials
• Content should be used as a supplementary learning tool, not as the sole educational resource

Reporting and Improvement

We are committed to continuous improvement and value your feedback:

LearnOptima is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Guarantees of uninterrupted or error-free service
• Assurances of specific learning outcomes or skill acquisition
• Promises of job placement or career advancement

Educational Content Disclaimer

Limitation of Liability

To the fullest extent permitted by law, LearnOptima and Valynx shall not be liable for:

• Direct Damages: Loss of data, profits, revenue, or business opportunities
• Indirect Damages: Consequential, incidental, punitive, or special damages
• Third-Party Actions: Actions or omissions of other users or third parties
• Service Interruptions: Downtime, data loss, or technical failures

Indemnification

You agree to indemnify and hold harmless LearnOptima, Valynx, and our affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your misuse of the Platform
• Your infringement of intellectual property rights
• Your actions that harm other users or third parties

Your Right to Terminate

You may terminate your account at any time by:

• Navigating to Account Settings and selecting "Delete Account"
• Emailing teamlearnoptima@valynx.net with "Delete Account" in the subject

Effect of Termination: Upon deletion, your subscription is canceled, and your account data is removed per our Privacy Policy. Roadmap content and progress are deleted within 30 days.

Our Right to Terminate

We reserve the right to suspend or terminate your account immediately, with or without notice, if:

• You violate these Terms or our Acceptable Use Policy
• Your account is associated with fraudulent activity
• You engage in abusive or harmful conduct toward other users or staff
• You attempt to circumvent payment or subscription limits

Data Retention After Termination

• Account data is deleted within 30 days of termination
• Anonymized usage data may be retained for analytics and legal compliance
• Billing records are retained as required by law (typically 7 years)

We reserve the right to modify these Terms at any time to reflect changes in our services, legal requirements, or business practices.

How We Notify You

• Email notification to your registered email address
• In-app notification when you log in
• Updated "Effective Date" at the top of this page

Your Acceptance

Continued use of LearnOptima after changes take effect constitutes your acceptance of the modified Terms. If you do not agree to changes, you must stop using the Platform and delete your account.

Informal Resolution

Before initiating formal legal proceedings, you agree to attempt to resolve disputes informally by contacting us at teamlearnoptima@valynx.net. We will work in good faith to resolve issues within 30 days.

Governing Law

These Terms are governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law principles.

Jurisdiction and Venue

Any legal action arising from these Terms must be brought exclusively in the courts of Wyoming, US. You consent to the personal jurisdiction of these courts.

Class Action Waiver

Limitation of Claims

Claims arising from these Terms must be filed within one (1) year of the event giving rise to the claim. After this period, claims are permanently barred.

Entire Agreement

These Terms, together with our Privacy Policy and any supplemental agreements, constitute the entire agreement between you and LearnOptima regarding use of the Platform.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor entity.

Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.
